1. Who We Are
Appivio is a software development company based in New Cairo, Egypt. We design and build MVPs, custom software, AI solutions and ERP systems, and we implement Odoo as an Odoo Ready Partner. In these Terms, "Appivio", "we", "us" and "our" refer to Appivio, and "you" refers to any visitor or client using the website.
2. Use of the Website
You may use the website for lawful purposes: to learn about our services, request a demo or contact us. You agree not to:
- Use the website in any way that breaks applicable laws or regulations
- Attempt to gain unauthorized access to the website, its servers or connected systems
- Introduce malware or disrupt the website's operation or security
- Scrape, copy or republish substantial parts of the website without our written permission
- Submit false or misleading information, or someone else's information, through our forms
3. Proposals, Estimates and Engagements
Information on the website, including timelines such as "2–4 weeks" or "6 weeks" and figures such as average results, describes typical engagements. It is not an offer or a guarantee for your specific project.
Every project is governed by a separate written proposal, statement of work or service agreement signed by both parties. If that agreement conflicts with these Terms, the agreement prevails. Quotes and estimates are valid for the period stated in them, or 30 days if no period is stated.
4. Fees and Payment
Fees, payment schedules and currencies are set out in each proposal or agreement. Unless agreed otherwise, invoices are due within 14 days of issue, and we may pause work while undisputed invoices are overdue. Fees exclude applicable taxes and third-party costs, such as software licenses, hosting or Odoo subscriptions, unless stated otherwise.
5. Intellectual Property
The website and its content, including text, graphics, logos and design, belong to Appivio or its licensors and are protected by intellectual property laws. You may not use our name or logo without our written permission.
For client projects, ownership of the deliverables transfers to the client once the related fees are paid in full, unless the agreement states otherwise. We keep ownership of our pre-existing tools, libraries, know-how and general-purpose components, and grant the client a license to use them as part of the deliverables. Open-source components remain subject to their own licenses.
6. Third-Party Software and Services
Our solutions may rely on third-party products, including Odoo, cloud hosting providers and payment or messaging services. Your use of those products is governed by their own terms and licenses. Odoo is a trademark of Odoo S.A.; Appivio is an independent partner and is not owned or operated by Odoo S.A. We are not responsible for the availability, pricing or changes of third-party products.
7. Client Responsibilities
Timelines and fees assume timely input from the client. To deliver on schedule, we rely on our clients to:
- Provide accurate requirements, content and data, and hold the rights to use them
- Give timely feedback and approvals, and access to the systems we need
- Name a decision-maker for the engagement
- Keep their own backups of business data, unless backups are part of the agreed scope
8. Confidentiality
We treat non-public information you share with us, including business processes, data and plans, as confidential. We use it only to evaluate or deliver our services, and share it only with team members and subcontractors who need it and are bound by confidentiality obligations. This does not apply to information that is public, already known to us, or that we are required by law to disclose. Personal data is handled as described in our Privacy Policy.
9. Disclaimers
The website and its content are provided "as is" and "as available". We work to keep them accurate and available, but we do not warrant that the website will be uninterrupted, error-free or free of harmful components. Warranties for project deliverables, including any bug-fix or support period, are set out only in the relevant agreement.
10. Limitation of Liability
To the maximum extent permitted by law, Appivio is not liable for any indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or business opportunities, arising from your use of the website or our services. Unless the relevant agreement states otherwise, our total liability for any claim relating to an engagement is limited to the fees paid to us under that engagement in the twelve (12) months before the claim arose.
11. Indemnity
You agree to indemnify Appivio against claims, losses and costs arising from your misuse of the website, your breach of these Terms, or content and data you provide to us that infringes the rights of others.
12. Suspension and Termination
We may suspend or restrict access to the website at any time, for example for maintenance or if we believe these Terms are being breached. Termination of client engagements is governed by the relevant agreement. Sections of these Terms that by their nature should survive, including intellectual property, confidentiality and limitation of liability, continue to apply.
13. Governing Law and Disputes
These Terms are governed by the laws of the Arab Republic of Egypt. We will first try to resolve any dispute amicably through good-faith discussion. If a dispute is not resolved within 30 days, it will be submitted to the competent courts of Cairo, Egypt, unless the relevant agreement provides for a different forum or for arbitration.
14. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continuing to use the website after changes are posted means you accept the updated Terms.
